Novax HRMS Solution Subscription Terms and Conditions

Welcome to Novax’s HRMS (Human Resource Management System) software solution. By accessing, using, or subscribing to our HRMS software, you (the “Customer”) agree to be bound by these Subscription Terms and Conditions.  
  1. Scope of Agreement These Terms and Conditions govern the Customer’s use of the Novax HRMS software and any related services provided by Novax. The HRMS software is licensed on a subscription basis and provides comprehensive human resource management functionalities.
 
  1. Software License 2.1. Novax grants the Customer a non-exclusive, non-transferable, and revocable license to use the HRMS software for the duration of the active subscription. 2.2. The Customer may access and use the HRMS software in accordance with the documentation and guidelines provided by Novax. 2.3. The Customer is responsible for ensuring that only authorized users have access to the HRMS software.
 
  1. Subscription and Payments 3.1. The HRMS software is available on a monthly or annual subscription basis. 3.2. Subscription fees are payable in advance and will be automatically charged to the Customer’s registered payment method. 3.3. Novax reserves the right to change the subscription fees upon providing the Customer with at least 30 days’ notice.
 
  1. Refund Policy 4.1. Novax offers a 7-day refund guarantee on all new HRMS software subscriptions. 4.2. If the Customer is not satisfied with the HRMS software within the first 7 days, they can request a full refund by contacting Novax’s support team. 4.3. After the 7-day refund period, subscriptions are non-refundable. Customers can cancel their subscription at any time, but no partial refunds will be issued.
 
  1. Customer Responsibilities 5.1. The Customer is responsible for providing accurate and up-to-date information required for the HRMS software setup and use. 5.2. The Customer shall ensure that their users comply with the terms of this Agreement and any applicable laws and regulations. 5.3. The Customer shall notify Novax promptly of any unauthorized access or use of the HRMS software.
 
  1. Intellectual Property 6.1. The HRMS software and all its components, including but not limited to the source code, design, and documentation, are the exclusive property of Novax. 6.2. The Customer shall not modify, reverse-engineer, or create derivative works based on the HRMS software.
 
  1. Limitation of Liability 7.1. Novax shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the HRMS software. 7.2. Novax’s total liability shall not exceed the amount paid by the Customer for the subscription during the 12 months preceding the claim.
 
  1. Technical Problems
8.1 In the case of technical problems You must make all reasonable efforts to investigate and diagnose problems before contacting Novax.

  1. Service availability:
9.1 Whilst Novax intends that the Services should be available 24 hours a day, seven days a week, it is possible that on occasions the Services or Website may be unavailable to permit maintenance or other development activity to take place.
9.2 If for any reason Novax has to interrupt the Services for longer periods than Novax would normally expect, Novax will use reasonable endeavours to publish in advance details of such activity on the Website.  
  1. Term and Termination 10.1. These Terms and Conditions shall remain in effect for the duration of the Customer’s active subscription. 10.2. Novax reserves the right to terminate the Agreement immediately if the Customer breaches any of the terms outlined herein.
 
  1. Privacy and Data Protection 11.1 Novax is committed to protecting the privacy and security of the Customer’s data. 11.2 Novax’s privacy policy, which is available on our website, outlines how we collect, use, and safeguard the Customer’s information.
 
  1. Miscellaneous 12.1. This Agreement shall be governed by the laws of Hong Kong and any disputes shall be resolved in the courts of Hong Kong. 12.2. Novax may update these Subscription Terms and Conditions from time to time. The Customer will be able to check it at https://thenovax.com of any changes.
 
  1. Languages
13.1 If the Agreement is translated into a language other than English, the translation is for convenience only. 13.2. Monitoring. Novax HRMS Solutions may remotely monitor Customer’s use of the Services to ensure compliance with the Agreement, provided that Novax HRMS Solutions will not access Customer’s network, systems or devices in connection with such monitoring.   By subscribing to and using the Novax HRMS software, the Customer acknowledges and agrees to be bound by these Subscription Terms and Conditions.
